Google's legal team is growing again! Google is looking for an experienced attorney to focus on commercial and sales transactions. The Counsel's primary responsibilities will include negotiating, drafting, and analyzing a wide variety of licensing, sales, strategic alliance, and development agreements. Work independently but collaboratively in a collegial team environment within a fast-paced legal department. Responsibilities:
* Respond promptly to legal requests from business development/licensing, advertising sales, marketing, and other business clients.
* Advise sales professionals and management, as well as finance and other company departments on legal issues and risks, complex deal structures, approval processes, company policies and procedures, intellectual property, and negotiation strategy.
* Negotiate agreements that comply with company policies and risk tolerance.
* Advise senior management on recommend courses of action and legal risks.
* Summarize and communicate legal concepts for use by business people.
* Daily review, draft and negotiate advertising services agreements, sales contracts, licenses/intellectual property agreements and other agreements. Daily in-house client interaction.
* Support the continuous improvement of standard form agreements and legal processes.
* Assist in development of and compliance with privacy principles.
* Special projects as requested.
Requirements:
* JD from top law school, excellent academic credentials.
* In-depth experience in contract law, with broad transactional background in technology related agreements.
* Experience advising clients on and structuring complex commercial transactions, including sales and services contracts.
* Significant experience in business development and intellectual property matters.
* Extensive background in drafting and negotiating services agreements, sales contracts, licenses/intellectual property and other agreements.
* Excellent business judgment, strategic thinking.
* Hard working, well organized and able to manage numerous projects simultaneously under deadline pressure. Excellent interpersonal skills, dynamic and highly team-oriented.
* Flexibility and willingness to work on a broad variety of legal matters.
* Superior English language writing and oral communication skills.
* Experience in Internet, high technology, and advertising agreements preferred.
* Sense of humor and commitment to professionalism and collegiality are required.
* California Bar.
